1. Introduction

Virtual Care Medical Group, P.A. ("VCMG," "we," "our," or "us") is an independently operated physician medical group, organized as a Florida professional association, that delivers physician-led virtual care. This website, virtualcaremedical.com (the "Site"), provides general information about our practice, our services, and opportunities to join our clinician network.

By accessing or using the Site, you agree to these Terms of Use (the "Terms"). If you do not agree, please do not use the Site. Visitors under 18 may use the Site only with the permission and supervision of a parent or guardian. We may change these Terms at any time in our sole discretion; the most current version supersedes all prior versions, and your continued use of the Site constitutes acceptance of any changes.

2. Privacy

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference. As noted there, the Site is not intended for the submission of PHI, and any PHI inadvertently received through the Site is promptly deleted in accordance with our data-handling protocols.

3. Electronic Communications

By using the Site or sending communications to us, you consent to receive communications from us electronically. You agree that all agreements, notices, disclosures, and other communications we provide electronically — by email or by posting on the Site — satisfy any legal requirement that such communications be in writing.

4. Links to Third-Party Sites

The Site may contain links to websites operated by third parties ("Linked Sites"). Linked Sites are not under our control, and we are not responsible for their content, privacy practices, or availability. We provide these links only as a convenience; their inclusion does not imply our endorsement of the Linked Site or any association with its operators.

5. Intellectual Property

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal, non-commercial informational purposes, subject to these Terms. All content on the Site — including text, graphics, logos, the VCMG name and marks, images, page layout, and software — is the property of VCMG or its licensors and is protected by copyright, trademark, and other intellectual-property laws.

You may not, without our prior written permission: copy, reproduce, modify, republish, distribute, transmit, display, or create derivative works from any content on the Site; reverse-engineer or attempt to derive source code; remove any proprietary notices; or sell, resell, or otherwise commercially exploit the Site or its content. No ownership rights are conveyed to you by your use of the Site.

6. No Unlawful or Prohibited Use

You warrant that you will not use the Site for any unlawful purpose or in any manner prohibited by these Terms. Without limitation, you agree not to:

1. damage, disable, overburden, or impair the Site, or interfere with any other party's use of it;
2. attempt to gain access to materials or features not intentionally made available to you;
3. exploit, harm, or attempt to exploit or harm minors in any way;
4. upload, transmit, or distribute material that is offensive, harmful, infringing, obscene, defamatory, abusive, deceptive, untrue, or otherwise unlawful;
5. impersonate VCMG, its personnel, another user, or any other person or entity;
6. use any robot, spider, scraper, or other automated means to access the Site; or
7. engage in any conduct that restricts others' use of the Site or exposes VCMG or any user to liability.

You further agree not to submit health or medical information or any PHI through the Site's contact, careers, or other features.

7. Materials Posted to the Site

We do not claim ownership of feedback, suggestions, or other materials you submit to us through the Site ("Submissions"). However, by providing a Submission, you grant VCMG, its affiliates, and sublicensees a worldwide, royalty-free, perpetual license to use, copy, distribute, transmit, publicly display and perform, reproduce, edit, translate, reformat, and publish your Submission (and your name in connection with it). You will not be compensated for any Submission. We have no obligation to post or use any Submission and may remove any Submission at our sole discretion.

8. International Users

The Site is controlled, operated, and administered by VCMG from within the United States. If you access the Site from outside the United States, you do so on your own initiative and are responsible for compliance with applicable local laws. You may not use the Site in any jurisdiction where doing so would be prohibited.

9. Indemnification

You agree to indemnify, defend, and hold harmless VCMG and its officers, directors, employees, clinicians, agents, and service providers from and against any losses, costs, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to: your use of or inability to use the Site; your Submissions; your violation of these Terms; your violation of any rights of a third party; or your violation of any applicable law.

10. Liability Disclaimer

The information on the Site may contain inaccuracies or typographical errors, and changes may be made periodically. We make no representations about the suitability, reliability, availability, timeliness, or accuracy of the Site or its content. Everything is provided "as is" without warranty of any kind, express or implied, to the maximum extent permitted by law.

To the fullest extent permitted by law, VCMG will not be liable for any direct, indirect, punitive, incidental, special, or consequential damages — including loss of use, data, or profits — arising out of or in any way connected with the use or performance of the Site, under any theory of liability, even if advised of the possibility of such damages. This includes, without limitation, disclaimers relating to: any PHI or medical information you voluntarily submit; your reliance on any Linked Site; and any unauthorized access where we have implemented reasonable safeguards. In no event will VCMG's total aggregate liability exceed the total amount, if any, you paid to VCMG to access or use the Site.

11. Termination; Governing Law; Arbitration

We may terminate or restrict your access to the Site at any time, without notice, in our sole discretion.

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or your use of the Site will be resolved by binding arbitration administered by the American Arbitration Association in the State of Florida, and you agree to a waiver of class actions and class arbitration. You agree to submit to arbitration as the exclusive dispute-resolution mechanism, except where applicable law does not permit arbitration. The state and federal courts located in Florida will have exclusive jurisdiction over any matter not subject to arbitration.
